Please read these terms carefully. By accessing or using Warply.app, you agree to be bound by these Terms of Service.

Subscriptions & Billing
Monthly plans renew automatically. You can cancel anytime. Fees are non-refundable unless required by law or stated otherwise here.
API & Rate Limits
Use our API within published limits and policies. Do not circumvent throttles, abuse tokens, or violate platform terms.
Content & Compliance
You’re responsible for the content you publish and for complying with laws and social-platform policies.
1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of Warply.app and related services (the “Service”). By creating an account, connecting social accounts, accessing the API, or otherwise using the Service, you agree to these Terms and our Privacy Policy.
2. Eligibility
You must be at least the age of majority in your jurisdiction and able to form a binding contract. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts
- You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
- You must provide accurate, current, and complete information and keep it updated.
- We may suspend or terminate accounts that violate these Terms or present security/abuse risks.
4. Subscriptions, Billing & Taxes
- Plans. We offer Free and Paid plans with different features, limits, and support levels. Plan details and pricing are shown on our Pricing page.
- Auto-Renewal. Paid subscriptions renew automatically each billing cycle unless canceled before the renewal date.
- Fees & Refunds. Fees are charged in advance and are non-refundable except where required by law or if stated otherwise in these Terms.
- Changes. We may change prices or plan features with prior notice. Changes take effect upon the next billing cycle unless otherwise stated.
- Taxes. Fees are exclusive of applicable taxes; you are responsible for any sales, use, VAT/GST, or similar taxes.
5. Fair Use & Rate Limits
- We may apply fair-use thresholds (e.g., posting volumes, API call quotas, concurrency caps) to maintain Service quality.
- You must not bypass or attempt to circumvent rate limits, quotas, or platform-imposed restrictions.
- Abuse of resources (e.g., excessive retries, spam, automation that violates platform rules) may result in throttling, suspension, or termination.
6. API Terms
- Credentials. Keep your API keys and OAuth tokens secure. Do not share or embed them in public code repositories.
- Usage. Use the API solely as documented. Do not reverse engineer, decompile, or create derivative services that replicate core functionality for resale without permission.
- Attribution. Where required, include “Powered by Warply” or similar attribution in your application’s UI or documentation.
- Third-Party Policies. Your API usage must comply with the policies of connected platforms (e.g., LinkedIn, X, Instagram, TikTok, YouTube, Facebook).
7. Connected Accounts & Tokens
- By connecting social accounts, you authorize Warply to store encrypted tokens and act on your behalf to schedule/publish posts consistent with your settings.
- You can revoke tokens at any time from within Warply or the relevant platform’s settings; revocation may limit functionality.
- We implement safeguards to protect tokens, but you acknowledge that no system is perfectly secure.
8. Your Content
- You retain ownership of the content you submit or publish through the Service (“User Content”).
- You grant Warply a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and transmit User Content solely to provide and improve the Service.
- You represent that you have necessary rights to the User Content and that it does not infringe or violate any laws or third-party rights.
9. Prohibited Uses
- Illegal activities, harassment, hate speech, doxxing, or content that is defamatory, infringing, or violates platform rules.
- Spam, deceptive practices, or manipulative engagement (e.g., fake likes/follows/comments).
- Security violations, scanning, scraping in violation of platform terms, or interfering with Service functionality.
- Attempting to disguise origin, impersonate others, or misrepresent affiliations.
10. Intellectual Property
The Service, including software, features, trademarks, and branding, is owned by Warply or its licensors and is protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, or create derivative works of the Service.
11. Third-Party Services
The Service integrates with third-party platforms and processors (e.g., social networks, payment providers). We are not responsible for third-party services, terms, or policies. Your use of third-party services is governed by their respective terms.
12. Privacy
Our Privacy Policy explains how we collect, use, and share information. By using the Service, you consent to those practices.
13. Security
We use administrative, technical, and organizational safeguards to protect the Service and your data. You are responsible for securing your devices, credentials, and API keys.
14. Availability & Beta Features
- Availability. We strive for high availability but do not guarantee uninterrupted Service. Maintenance, platform outages, or rate limits may impact scheduling or posting.
- Beta/Experimental Features. These may be offered “as is,” may change without notice, and may be subject to additional terms or limits.
15. Modifications to the Service
We may modify, suspend, or discontinue features at any time. If a change materially reduces core functionality of a paid plan, we will provide advance notice when practicable.
16. Termination
- You may cancel your subscription at any time in the app settings; cancellation takes effect at the end of your current billing cycle.
- We may suspend or terminate your access for material breaches, security risks, non-payment, or unlawful/abusive use.
- Upon termination, your right to use the Service ceases. Certain provisions survive (e.g., IP, disclaimers, liability limits, indemnity).
17. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT PUBLISHING VIA THIRD-PARTY PLATFORMS WILL BE TIMELY OR SUCCESSFUL.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WARPLY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNT YOU PAID TO WARPLY FOR THE SERVICE IN THAT PERIOD.
19. Indemnification
You agree to indemnify and hold harmless Warply and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your violation of these Terms or applicable laws.
20. Governing Law & Dispute Resolution
These Terms are governed by the laws of Victoria, Australia, without regard to conflict of laws principles. You agree to the exclusive jurisdiction of the courts located in Victoria, Australia. If required by law, you and Warply will first attempt to resolve disputes informally before filing any claim.
21. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified (e.g., in-app banner or email). Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
